are two key legal considerations for businesses, namely the limitation period to recover a debt and rate of interest, if any, to charge on unpaid invoices.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"viewer-vyzwz30848\">Limitation period to recover a debt<\/h3>\n\n\n\n<p id=\"viewer-r6aan30850\">Malaysia\u2019s <a target=\"_blank\" href=\"https:\/\/www.investmalaysia.gov.my\/media\/brtdgigj\/limitation-act-1953.pdf\" rel=\"noreferrer noopener\"><strong><u>Akta Had Masa 1953<\/u><\/strong><\/a>&nbsp;is <strong><em>the <\/em><\/strong>law to know for creditors, as this Act establishes:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>creditors have a 6-year time limit<\/strong>\u00a0from the date a debt becomes due to recover it<\/li>\n\n\n\n<li>creditors lose the legal right to claim the debt is this period expires<\/li>\n\n\n\n<li>the clock resets each time a debtor acknowledges the debt or makes partial payment<\/li>\n<\/ul>\n\n\n\n<p id=\"viewer-2ib9l30867\"><strong>The above applies regardless of debt value<\/strong>, and we have experienced <em>many <\/em>debtors attempting to delay payment or ignore a creditor until the limitation period runs out.<\/p>\n\n\n\n<p id=\"viewer-6tsmb30870\"><strong>The sooner a business acts, the better the chances of recovering a debt.<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"viewer-cz9jr30872\">Rate of interest on unpaid invoices<\/h3>\n\n\n\n<p id=\"viewer-9v30430874\">A delinquent customer typically means overdue invoices, and businesses will want to <a target=\"_blank\" href=\"https:\/\/www.rulecolaw.com\/post\/understanding-late-payment-interest-for-invoices-how-much-interest-can-you-impose\" rel=\"noreferrer noopener\"><strong><u>charge interest on the outstanding amount<\/u><\/strong><\/a>.<\/p>\n\n\n\n<p id=\"viewer-ct2x430879\"><strong>In Malaysia, this requires two conditions to be legally enforceable:&nbsp;<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>agreement from both parties in the contract or invoice<\/li>\n\n\n\n<li>the interest rate is not \u2018excessive\u2019 or \u2018unconscionable\u2019<\/li>\n<\/ul>\n\n\n\n<p id=\"viewer-xqnkt30890\">The first is simple: Have a clause in your invoices and contracts that clearly states the overdue interest rate!<\/p>\n\n\n\n<p id=\"viewer-93gwc88599\">The second is more subjective, and while there\u2019s no hard rule, <strong>1.5% per month or 18% per year has become an unofficial standard<\/strong>&nbsp;generally accepted by Malaysian courts.<\/p>\n\n\n\n<p id=\"viewer-behj530898\">This doesn\u2019t mean creditors cannot seek a higher rate, especially if explicitly stated and agreed to by the customer, but there is a risk of it being challenged as unfair.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"viewer-1cnqo30900\"><span class=\"ez-toc-section\" id=\"Establishing_debt_recovery_probability\"><\/span>Establishing debt recovery probability<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p id=\"viewer-bp4nw30902\">Here\u2019s a painful truth we sometimes have to tell our clients: <strong>Some debts are unrecoverable.<\/strong><\/p>\n\n\n\n<p id=\"viewer-49keh30905\">Here\u2019s an even more painful truth: A debt can be <em>technically <\/em>recoverable, but with chances of success so low that pursuing it will likely cause the client even more losses.&nbsp;<\/p>\n\n\n\n<p id=\"viewer-hmgth30907\">Before investing resources, assess chances of recovery with three questions:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\" id=\"viewer-tbw5o30909\">1.
