class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>In Malaysia, debt recovery for unpaid rent is governed by four key laws:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Tenancy Agreement<\/strong><\/li>\n\n\n\n<li><a href=\"https:\/\/www.investmalaysia.gov.my\/media\/brtdgigj\/limitation-act-1953.pdf\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Akta Had Masa 1953<\/strong><\/a><\/li>\n\n\n\n<li><a href=\"https:\/\/www.commonlii.org\/my\/legis\/consol_act\/da19511981201\/\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Distress Act 1951<\/strong><\/a><strong>, <\/strong>and<\/li>\n\n\n\n<li><a href=\"https:\/\/www.commonlii.org\/my\/legis\/consol_act\/cla19561972179\/\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Civil Law Act 1956&nbsp;<\/strong><\/a><\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Tenancy Agreement<\/h3>\n\n\n\n<p>A tenancy agreement signed by both landlord and tenant forms the foundation of the debt collection process, and with regards to rent arrears, determines:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>grace periods for late payments<\/li>\n\n\n\n<li>the final amount owed<\/li>\n\n\n\n<li>whether either party failed to fulfill obligations<\/li>\n\n\n\n<li>forfeiture of deposit upon default<\/li>\n\n\n\n<li>circumstances that trigger the force majeure clause (if any), and<\/li>\n\n\n\n<li>interest rates on overdue rent or agreed Liquidated Ascertained Damages (if any)<\/li>\n<\/ul>\n\n\n\n<p>In our experience, most landlords are familiar with key terms in their tenancy, so we\u2019ll move straight into how the law steps in when rent isn\u2019t paid.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Akta Had Masa 1953<\/h3>\n\n\n\n<p>Section 6(1)(a) of the Limitation Act 1953 sets a six-year time limit from the date the rent became due for landlords to file a claim in court. After this, any claim for unpaid rent becomes time-barred and can no longer be legally enforced.<\/p>\n\n\n\n<p>In practical terms, this gives landlords a six-year safety net to explore more <a href=\"https:\/\/www.recoverdebt.my\/bm\/pre-court\/alternative-dispute-resolution\/\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>cost-effective recovery methods<\/strong><\/a> before filing a suit\u2013and even then, only if it makes sense.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Distress Act 1951<\/h3>\n\n\n\n<p>Section 5(1) of the Distress Act 1951 allows a landlord to apply for a Writ of Distress to seize the tenant\u2019s movable property in the rented premise and sell them off to cover unpaid rent preceding the date of application of the warrant.<\/p>\n\n\n\n<p>It is not granted lightly and there are limits to property that can be seized.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Civil Law Act 1956<\/h3>\n\n\n\n<p>Section 28(4)(a) of the Civil Law Act 1956 gives landlords in Malaysia the option of charging a tenant double the rent for the months they continue to occupy the premises without permission once the tenancy ends (known as the \u201cholding over\u201d period).<\/p>\n\n\n\n<p>With the law on rental recovery covered, let\u2019s explore one of the first things any debt recovery professional will seek to establish: <strong>Probability of successful recovery.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Main_steps_in_recovering_commercial_rent_arrears\"><\/span>Main steps in recovering commercial rent arrears<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>There are four possible steps if a case plays out in full.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 1: Confirm default and no tenant complaint<\/h3>\n\n\n\n<p>Confirm three things:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>rent is in default past its grace period<\/li>\n\n\n\n<li>there has been no complaint from the tenant about the premise<\/li>\n\n\n\n<li>there has been no notice from the tenant about a missed \/ late payment or sincere promise to make good<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Step 2: Commence pre-court recovery (e.g. Letter of Demand)<\/h3>\n\n\n\n<p>In our experience, a tenant defaulting this month is likely to keep defaulting. In fact, it can be used as leverage as a tenant is far less motivated to settle unpaid rent once made an ex-tenant!<\/p>\n\n\n\n<p>That said, here are the two legal options:<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Option 1: Civil suit<\/h4>\n\n\n\n<p>This is the conventional way a creditor recovers debts through the legal system, where they (through a lawyer) file a claim in court against the tenant to obtain a judgment for the debt.<\/p>\n\n\n\n<p>With a court judgment, they can enforce the debt through several options depending on the debtor\u2019s circumstances.<\/p>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><strong>Method<\/strong><\/td><td><strong>Description<\/strong><\/td><td><strong>When Effective<\/strong><\/td><\/tr><tr><td><strong>Writ of Seizure and Sale (WSS)<\/strong><\/td><td>Court seizes and sells debtor\u2019s assets to satisfy the debt<\/td><td>Debtor has tangible assets in Malaysia<\/td><\/tr><tr><td><strong>Garnishee Proceedings<\/strong><\/td><td>Court redirects funds owed to debtor (e.g., bank accounts) to you<\/td><td>Debtor has bank accounts or receivables<\/td><\/tr><tr><td><a href=\"https:\/\/www.rulecolaw.com\/post\/judgment-debtor-summons\" target=\"_blank\" rel=\"noreferrer noopener\"><strong>Judgment Debtor Summons (JDS)<\/strong><\/a><\/td><td>Court orders debtor to disclose assets\/income and pay in full or instalments<\/td><td>To obtain detailed information about a debtor\u2019s financial status.<\/td><\/tr><tr><td><strong>Winding Up Petition<\/strong><\/td><td>Petition to liquidate a company failing to pay a statutory demand<\/td><td>Debtor is a company owing RM50,000+ with assets<\/td><\/tr><tr><td><strong><a href=\"https:\/\/www.recoverdebt.my\/bm\/legal-enforcement\/bankruptcy-in-malaysia\/\" target=\"_blank\" rel=\"noreferrer noopener\">Bankruptcy Proceedings<\/a><\/strong><\/td><td>Debtor declared bankrupt; assets managed by insolvency office<\/td><td>Debtor is an individual owing RM100,000+ with assets<\/td><\/tr><tr><td><strong>Writ of Possession<\/strong><\/td><td>Recover rented property after judgment<\/td><td>Debt relates to tenancy arrears<\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>A general recommendation is to start with a Judgement Debtor Summons, get an accurate understanding of the tenant\u2019s situation, and pick the best enforcement method from there.<\/p>\n\n\n\n<p>Our specific recommendation is to not take conclusive legal advice from articles and consult a lawyer!<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Option 2: Apply for a writ of distress<\/h4>\n\n\n\n<p>A writ of distress is a specific remedy for landlords, allowing the<strong> seizure and sale of the tenant\u2019s movable property on the premises to recover up to 12 months of unpaid rent<\/strong>.
